Terms of Use for Buyers

These terms of use ("Terms") are made by DIIT SERVICES – FZCO, license number 14487, officially registered with the Dubai Integrated Economic Zones Authority, and with its registered office at premises 14487-001, IFZA Business Park, DDP, Dubai, United Arab Emirates (hereafter referred to as "DIIT SERVICES", "we" or "us").

These Terms regulate the utilization of the B2B marketplace designed to facilitate transactions between sellers of and buyers of automobile parts denoted as the "Platform", accessible on our website https://carma.team/ (the "Website").

These Terms govern your access to and use of our Platform as a Buyer.

Use of the Platform signifies your agreement to these Terms, which constitute a legal agreement between you as a Buyer and DIIT SERVICES.

Please read these Terms carefully before using the Platform. If you do not accept these Terms in their entirety, do not access or use the Platform.

  1. GENERAL SERVICES OF THE PLATFORM
    1. DIIT SERVICES has developed the Platform and owns all rights, titles, and interests in and to the Platform, including any intellectual property rights.
    2. Subject to these Terms, DIIT SERVICES grants Buyers a limited, non-transferable, non- sublicensable, and non-exclusive license to use the Platform internally for the sole purpose of facilitating B2B transactions for automobile parts. This license is valid only during the applicable subscription term and is strictly limited to the intended use of the Platform as described in these Terms.
    3. The Platform includes various types of content, including but not limited to:
      1. price lists: price lists submitted by sellers are published on the Platform for Buyers' reference. These price lists are owned by the respective sellers and are not the intellectual property of DIIT SERVICES;
      2. technical catalogs: the Platform integrates technical catalogs and part information provided by third-party services. DIIT SERVICES does not claim ownership over this content; it is used under agreement with the respective providers.
    4. DIIT SERVICES respects the intellectual property rights of others. While we own the Platform and its core functionalities, we do not claim ownership over price lists and technical catalogs.
    5. Buyers acknowledge that they are granted access to this content solely for the purpose of conducting B2B transactions and agree not to reproduce, distribute, modify, or create derivative works of any third-party content without obtaining explicit permission from the rightful owner.
  2. ELIGIBILITY

    1. To accept these Terms and use the Platform, you must affirm that you possess the necessary legal competence, such as being a duly authorized representative of a Buyer (employee, agent, etc.).
    2. By accepting these Terms, you commit to adhering to them during your use of the Platform. Acceptance of these Terms signifies your acknowledgment of understanding them, your commitment to compliance, and the accuracy, honesty, and currency of the information you provide on the Platform.
    3. If you are acting on behalf of a legal entity, you agree to the Terms both individually and on behalf of the said legal entity, ensuring that you are authorized to accept the Terms on its behalf.
    4. Compliance with applicable laws is a priority for us. These Terms will be applicable to the maximum extent permitted by the national mandatory laws in the Buyer's country of residence where we market the Platform.
  3. VERIFICATION

    1. Before gaining full access to the Platform, Buyers must undergo a verification process.
    2. Buyers must upload necessary documents, such as a trade license and any additional documentation that DIIT SERVICES may require at its discretion (e.g., Memorandum of Association, tax certificate, proof of address, or other relevant business credentials).

      If the trade license expires, Buyers are obligated to provide an updated version.

    3. DIIT SERVICES reserves the right to request supplementary documentation if deemed necessary to ensure compliance with legal requirements or to verify the authenticity of the provided information.
    4. We reserve the right to reject or suspend accounts if the provided information is incomplete, inaccurate, or fails to meet verification requirements.
    5. If the provided information is found to be inaccurate, incomplete, or non-compliant with requirements, the account may be temporarily suspended or placed under limited access until the issue is resolved.
    6. Full access to the Platform is granted only after successful verification.
  4. ACCOUNT RESPONSIBILITY

    1. The Buyer is fully responsible for maintaining the confidentiality of their account credentials (login, password) and any actions performed through their account.
    2. In case of lost access to the account or suspicion of unauthorized access, the Buyer must immediately notify DIIT SERVICES customer support.
  5. BUYER’S AUTHORIZATION AND CONSENT

    1. In order to streamline the purchasing process and enhance the acquisition of products and services offered by sellers, a Buyer explicitly grants DIIT SERVICES the authorization to facilitate and manage the online purchase process, including the processing of payments, on behalf of the Buyer in real-time through the Platform.
    2. By registering as a Buyer, the user consents to DIIT SERVICES using their provided information for the purpose of completing transactions, verifying identity, and improving the overall service experience. This includes sharing necessary transaction details with sellers to finalize purchases.
    3. Using the tools and features of the Platform provided by DIIT SERVICES, a Buyer will configure their preferences and requirements for purchasing automobile parts, including setting relevant parameters and agreeing to the terms and conditions offered by sellers through the Platform.
    4. Buyer grants DIIT SERVICES permission to use non-personal data collected during transactions solely for statistical purposes, aiming to enhance the service provided to all users of the Platform.
    5. Buyer is solely responsible for the accuracy, content, and legality of all information and data submitted to the Platform and represents and warrants to DIIT SERVICES it has all necessary rights, consents and permissions to collect, share and use all content and that no Buyer’s content will violate or infringe (i) any third-party intellectual property, publicity, privacy or other rights, (ii) any laws, or (iii) any terms of service, privacy policies or other agreements governing Buyer’s content or with any third-party platforms.
  6. SUBSCRIPTION FEES

    1. To access the full range of features and benefits offered by the Platform, Buyers are required to subscribe to our service plan. Below is a detailed explanation of how subscription fees work, what they include, and important terms related to payments.
    2. The Platform offers different subscription plans tailored to meet the needs of various types of Buyers. These plans may vary in price based on factors such as:

      1. the length of the subscription period (e.g., monthly or annual);
      2. access to advanced tools or analytics;
      3. priority customer support;
      4. discounts on certain goods or promotions;
      5. other factors, determined by DIIT SERVICES.
    3. Please note that the information on the Website represents the most up-to-date version of the subscription plans and may be subject to change without prior notice.

      We recommend Buyers regularly review the available options on the website to ensure they are aware of any updates. Before selecting a plan, carefully evaluate which option best suits your business requirements.

    4. Buyers must provide valid payment information (e.g., credit card, bank transfer) during the registration process or when upgrading their account.
    5. Subscription fees are charged automatically according to the billing cycle selected (monthly, annually, etc.). For example, monthly subscriptions will incur charges every calendar month. Annual subscriptions will lock in a fixed rate for one year, with renewal occurring annually unless canceled.
    6. All applicable taxes (such as VAT or sales tax) will be included in the total amount billed. Tax rates depend on the jurisdiction where the Buyer operates.
    7. Subscription fees paid on the Platform are non-refundable, except under the following circumstances: if a free trial period is offered, and you cancel your subscription within this timeframe.
    8. DIIT SERVICES uses Stripe, a globally trusted payment processing platform, to handle all subscription-related payments. Stripe ensures secure and seamless transactions for Buyers.
    9. Buyers can easily update their payment information directly through their account settings on the Platform.

      Please note that DIIT SERVICES does not store any payment data provided by Buyers. All payment information is securely processed and managed by Stripe.

    10. Stripe adheres to the highest security standards, including compliance with the Payment Card Industry Data Security Standard (PCI DSS), ensuring the protection of sensitive payment information.
    11. Any changes made to your payment details will be reflected in Stripe's system, ensuring uninterrupted service.
    12. The status of your subscription will be tracked and updated within the Platform solely for the purpose of granting access to premium features, such as detailed component drawings and advanced catalogs.
    13. Buyers can cancel their subscription at any time via their account dashboard. Once canceled, access to all features will cease at the end of the current billing cycle.
    14. Subscription fees are non-refundable unless otherwise specified in the subscription terms. However, if there are issues with the subscription process or technical problems arise, please contact our support team at info@carma.team or +971 54 591 00 53.
    15. From time to time, DIIT SERVICES may offer promotional discounts or special pricing for new or existing subscribers. Such offers are subject to specific terms and conditions, which will be clearly communicated during the promotion period. Please note that discounted rates might not apply retroactively to previous purchases.
    16. In the event of a missed payment, DIIT SERVICES reserves the right to:

      1. suspend access to all features until the outstanding balance is settled;
      2. charge late fees;
      3. terminate the account entirely if repeated non-payment occurs.
    17. We strongly advise Buyers to maintain up-to-date payment methods and promptly address any billing concerns with our support team.
  7. BUYER FUNCTIONALITY ON THE PLATFORM

    1. The Platform provides Buyers with access to detailed price lists submitted by sellers. These price lists contain essential information about products, including part numbers, pricing, stock availability, and lead times.
    2. Sellers are responsible for ensuring that all price lists are accurate, up-to-date, and compliant with applicable laws and regulations.

      DIIT SERVICES as a facilitator and does not independently verify the accuracy of the information provided by sellers.

      DIIT SERVICES shall not be held liable for any errors or inaccuracies in the information, whether caused sellers, technical issues, or any other factor, including potential errors introduced during the processing or display of such information on the Platform.

      Buyers should review the information carefully before placing an order and are encouraged to contact sellers directly through the Platform if they have questions or require clarification regarding any product details.

    3. The Platform uses price lists solely to facilitate transactions between Buyers and sellers.
    4. DIIT SERVICES does not:

      1. distribute price lists outside the Platform;
      2. share price lists with third parties;
      3. use price lists for any purpose other than enabling efficient B2B transactions.
    5. Buyers can view price lists provided by sellers, which include information about products such as part numbers, prices, minimum order quantities (MOQ), stock availability, and lead times.
    6. After reviewing the price lists, Buyers can select the desired products and create orders through the Platform's user interface.
    7. The platform provides convenient tools for order creation, allowing Buyers to specify quantities, add notes, and review the total cost of their orders before submission.
    8. Once an order is created, the Platform automatically sends it to the selected seller via email and through integrated messaging apps such as WhatsApp and others. This ensures that the Seller receives the order details promptly and can proceed with order confirmation and processing.
    9. The Seller receives a notification about the new order and can reach out to the Buyer to clarify details or confirm the terms of the transaction.
    10. After submitting an order, Buyers can use the platform's built-in communication tools to interact with Sellers.
    11. All further actions, such as negotiating payment terms, arranging shipping, or handling returns, are managed directly between the Buyer and the seller.
  8. ORDER PROCESSING FOR BUYERS

    1. Once an order is placed, the Platform sends notifications to both the seller and the Buyer via email and through integrated messaging apps such as WhatsApp and others.

      All delivery arrangements, including shipping details, payment processing, and return policies, are managed directly between the seller and the Buyer.

    2. After placing an order, Buyers should expect direct communication from the seller. This communication will cover:

      1. confirmation of product quantities, specifications, and any special requests made during the order placement;
      2. details about shipping methods, estimated delivery times, and tracking numbers.
      3. clarification of payment methods, such as advance payment, payment upon delivery, or other mutually agreed terms;
      4. terms of return.
    3. If a Buyer wishes to cancel an order, they must notify the seller as soon as possible via email and through integrated messaging apps such as WhatsApp and others.

      The ability to cancel an order may depend on the seller's policies and the current status of the order (e.g., whether the order has already been shipped or processed).

    4. Any matters related to refunds, returns, or other financial arrangements are governed by the terms agreed upon directly between the Buyer and the seller.

      DIIT SERVICES does not intervene in or influence these processes and assumes no responsibility for the outcome of such agreements.

    5. Financial transactions between Buyers and sellers are conducted independently, and DIIT SERVICES does not handle payments directly.

      The Platform acts solely as an intermediary to facilitate communication and transaction initiation but does not participate in or manage payment processing, refunds, returns of products, or any other financial operations.

      By using the Platform, both Buyers and Sellers acknowledge and agree that they are solely responsible for handling all financial transactions and resolving any issues that may arise during or after the transaction process.

    6. DIIT SERVICES does not mediate return disputes unless specifically requested by either the Buyer or the Seller. If a dispute arises regarding product returns of products, refunds, or related matters, it is the responsibility of the parties involved to resolve the issue directly between themselves based on their agreed terms.
  9. RESPONSIBILITIES OF BUYERS

    1. Buyers must ensure that all information provided during the order placement process is accurate and complete. This includes specifying the correct quantities, product specifications, and any special requests.
    2. Before placing an order, Buyers are responsible for reviewing product listings thoroughly. This includes checking the part numbers, technical specifications, materials, and any other relevant details provided by the Seller.
    3. Buyers must familiarize themselves with the seller's return policy before finalizing a purchase.
    4. Buyers are responsible for maintaining open and professional communication with sellers throughout the transaction process. This includes:

      1. confirming order details if requested by the seller;
      2. addressing any discrepancies or issues related to the order promptly;
      3. providing necessary information, such as shipping addresses or payment confirmations, within the agreed timeframe.
    5. Buyers must handle all sensitive information shared by Sellers (e.g., invoices, shipping details) with care and confidentiality.
    6. Buyers must agree to and comply with the payment terms negotiated with sellers. This could include advance payments, payments upon delivery, or other mutually agreed methods.
    7. If a Buyer encounters any issues with a product (e.g., defects, counterfeit items, non-compliance with specifications), they must notify the seller immediately.
    8. Buyers must adhere to all rules and policies set forth by DIIT SERVICES, including these Terms and any additional guidelines provided. This includes avoiding prohibited activities (such as spamming, phishing, or unauthorized solicitation), and participating in periodic training or updates as required. Sellers who violate these rules may face disciplinary actions, ranging from warnings to permanent account termination.
  10. GENERAL RESTRICTIONS

    1. Buyer will not: (a) rent, lease, provide access to or sublicense the services to a third party; (b) use the services to provide, or incorporate the services into, any product or service provided to a third party; (c) reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code or non-public APIs to the services, except to the extent expressly permitted by applicable law (and then only upon advance notice to DIIT SERVICES); (d) copy or modify the services, or create any derivative work from any of the foregoing; (e) remove or obscure any proprietary or other notices contained in the services (including without limitation (i) the "Powered by DIIT SERVICES" designation that may appear as part of the deployment of the services on the Website and (ii) notices on any reports or data printed from the services); or (f) publicly disseminate information regarding the performance of the Platform.
  11. DURATION

    1. These Terms will be effective for one year from the date of signing and will automatically renew for successive one-year periods, unless either party provides written notice to the other at least sixty days before the initial expiration or the expiration of any subsequent renewals.
  12. INTELLECTUAL PROPERTY

    1. All information presented on the Platform is safeguarded by copyright or other protective rights stipulated in the laws of the UAE, including Federal Law No. 31 of 2006 on the Regulation and Protection of Industrial Property Rights, Federal Law No. 37 of 1992 on Trademarks, and Federal Law No. 7 of 2002 on Copyrights and Related Rights.
    2. DIIT SERVICES owns all rights, titles, and interests in and to the Platform itself, including its structure, design, and functionality. Certain components of the Platform, such as third-party technical catalogs are owned by their respective creators or licensors and price lists provided by sellers, are owned by sellers.
    3. Any reproduction, distribution, transformation, public communication, or transfer of all or part of the software elements, technical catalogs, price lists, or any other object protectable under intellectual property rules is expressly prohibited without prior written consent from the rightful owner.
    4. Buyers acknowledge that they are granted access to this content solely for the purpose of conducting B2B transactions through the Platform and agree not to:

      1. reproduce, distribute, or modify any content obtained via the Platform;
      2. create derivative works based on the content;
      3. use the content for purposes outside the intended use of the Platform.
    5. Violations of these provisions may result in legal consequences under laws of the United Arab Emirates.
  13. DATA PROTECTION

    1. During the registration and verification process, as well as throughout Buyer's use of the Platform, we may collect the following types of data:

      1. personal information: such as name, email address, phone number, and contact details;
      2. business information: including company name, tax identification number, trade licenses, and other legal documents required for verification;
      3. transaction data: details of orders, communications with sellers, and any other transaction-related information;
      4. communication records: emails, messages, or other forms of communication exchanged between Buyer and DIIT SERVICES or sellers through the Platform.
    2. The data collected from Buyers is used exclusively for the following purposes:

      1. verification and compliance: to verify your identity and ensure compliance with legal requirements, such as trade licenses and industry regulations;
      2. platform operations: to facilitate the functioning of the Platform, including placing orders, enabling communication with Sellers, and managing transactions;
      3. customer support: to provide assistance and resolve any issues related to Buyer's account or transactions;
      4. improving services: to analyze usage patterns and improve the functionality and user experience of the Platform;
      5. legal obligations: to comply with legal obligations, such as reporting requirements or investigations.
    3. DIIT SERVICES implements robust security measures to protect seller data from unauthorized access, loss, misuse, or alteration.
    4. All data transmitted through the platform is encrypted using industry-standard protocols.
    5. Only authorized personnel have access to Buyer data, and access is granted on a need-to-know basis.
    6. Regular security audits and assessments are conducted to identify and address potential vulnerabilities.
    7. Regular backups of data are maintained to prevent data loss in case of unforeseen events.
    8. DIIT SERVICES does not share Buyer's data with third parties except in the following circumstances:

      1. with sellers: limited information, such as contact details, may be shared with sellers to facilitate communication and transaction completion;
      2. service providers: data may be shared with trusted third-party service providers who assist DIIT SERVICES in operating the Platform, provided they adhere to strict confidentiality agreements;
      3. legal requirements: data may be disclosed to authorities or regulators if required by law or to protect the rights, property, or safety of DIIT SERVICES, its users, or others.
    9. Buyers are responsible for ensuring that all personal and business information provided during registration and subsequent interactions is accurate and up-to-date.
    10. Buyers may receive commercial information from sellers if they have explicitly consented to it. Sellers are obligated to inform Buyers in accordance with Article 14 of the GDPR and obtain consent where applicable.
    11. Buyers must handle all sensitive information shared by sellers (e.g., invoices, shipping details) with care and confidentiality. Sharing or misusing this information without explicit consent from sellers is strictly prohibited.
    12. Processing of personal data of which Stripe is the data controller.

      1. DIIT SERVICES acts as the data controller for the information of registered buyers. Once this data is received by sellers, sellers assume responsibility and must adhere to applicable data protection laws in managing the associated database.
      2. Personal data of Buyers will be shared with sellers solely for the purpose of administering orders made by Buyers on the Platform.
    13. Processing of personal data of which a seller is the data controller.

      1. Seller assumes responsibility for the personal data of Buyers collected directly by a seller and managed on the Platform, wherein DIIT SERVICES will act as the data processor. Consequently, sellers and DIIT SERVICES commit to executing a data processing agreement.
  14. LIMITATION OF LIABILITY

    1. DIIT SERVICES acts as a neutral intermediary, providing a platform for buyers and sellers to connect and conduct their business transactions. The primary role of DIIT SERVICES is to facilitate communication and streamline the process of finding and purchasing automotive parts. However, DIIT SERVICES does not participate in or control the actual transactions between buyers and sellers.
    2. DIIT SERVICES does not assume responsibility for the quality, safety, or legality of any products listed or sold on the Platform. Sellers are solely responsible for ensuring that their products meet all applicable industry standards, legal requirements, and safety regulations. Buyers should independently verify product specifications, compatibility, and compliance with local laws before making a purchase. DIIT SERVICES cannot guarantee the authenticity, functionality, or condition of any product listed on the Platform.
    3. DIIT SERVICES does not manage, oversee, or guarantee shipping processes. Sellers are responsible for arranging and executing deliveries, including selecting carriers, providing tracking information, and ensuring timely shipment. DIIT SERVICES is not liable for any shipping delays, non-delivery of goods, damages during transit, or losses incurred due to improper packaging or handling. Buyers should communicate directly with sellers regarding shipping concerns and resolve any issues outside of the Platform.
    4. DIIT SERVICES does not handle or mediate payment transactions between Buyers and sellers. All financial arrangements, including payment methods, terms, and refunds, are managed directly between the parties involved. DIIT SERVICES is not responsible for resolving disputes related to payments, late payments, non-payments, or refund requests. It is the responsibility of both buyers and sellers to agree on clear payment terms and ensure compliance with those terms.
    5. DIIT SERVICES may integrate third-party services (e.g., payment gateways, logistics providers, or API integrations) to enhance the functionality of the Platform. However, DIIT SERVICES does not endorse or guarantee the performance, reliability, or security of these third-party services. Any issues arising from the use of such services, including data breaches, service interruptions, or financial losses, are beyond our control and responsibility.
    6. DIIT SERVICES strives to maintain a stable and secure platform but cannot guarantee uninterrupted access or error-free operation. Technical issues, downtime, or other disruptions may occur due to factors beyond our control, such as server failures, network outages, or cyberattacks. We shall not be held liable for any losses or damages resulting from such events.
    7. The Platform is provided "as is" and "as available," without warranties of any kind, either express or implied. This includes warranties of merchantability, fitness for a particular purpose, or non- infringement. DIIT SERVICES does not warrant that the Platform will meet users' specific needs, operate without interruption, or be free from errors or vulnerabilities.
    8. To the fullest extent permitted by applicable law DIIT SERVICES shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation (other than fraudulent or negligent misrepresentations), or otherwise, for:

      1. economic losses: any economic losses suffered by Buyers, including but not limited to loss of revenues, profits, contracts, business opportunities, or anticipated savings;
      2. reputation damage: any loss of goodwill or reputation suffered or incurred by Buyers arising out of or in connection with these Terms;
      3. indirect or special losses: any special, indirect, consequential, or punitive damages, even if DIIT SERVICES has been advised of the possibility of such losses.
    9. This limitation of liability reflects the allocation of risk between DIIT SERVICES and Buyers as agreed upon in these Terms. It is reasonable and enforceable under the Civil Code of the UAE (Federal Law No. 5/1985) and the Commercial Transactions Law (Federal Law No. 18/1993).
  15. INDEMNIFICATION BY BUYERS

    1. Buyers agree to indemnify, defend, and hold harmless DIIT SERVICES and its affiliates, directors, officers, employees, agents, successors, and assigns (collectively, "DIIT Parties") from and against any and all claims, liabilities, losses, damages, costs, and expenses (including but not limited to reasonable legal fees) arising out of or in connection with:

      1. any breach or violation of these Terms by the Buyer;
      2. the sale of goods through the Platform that infringe upon the intellectual property rights, trademarks, patents, or other proprietary rights of third parties;
      3. the provision of false, misleading, or inaccurate information regarding products listed on the Platform;
      4. any use or alleged use of the Platform under the Buyer’s account credentials, whether authorized or unauthorized by the Buyer.
    2. DIIT SERVICES reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Buyers. In such cases, Buyers agree to fully cooperate with DIIT SERVICES in the defense of such claims.
    3. The Seller shall promptly notify DIIT SERVICES in writing of any claim, demand, lawsuit, or proceeding brought against DIIT SERVICES that may give rise to an obligation for indemnification under this section.
    4. This indemnification section shall survive the termination or expiration of these Terms.
  16. BUSINESS RELATIONSHIP

    1. These Terms and the relationship between the Platform (operated by DIIT SERVICES) and Buyers constitute a purely business relationship governed by the Civil Code of the UAE (Federal Law No. 5/1985), the Commercial Transactions Law (Federal Law No. 18/1993), and the Electronic Transactions and Commerce Law (Federal Law No. 2/2015).

      DIIT SERVICES and Buyers hereby affirm that no employment relationship will exist between DIIT SERVICES and any Seller at any time. Consequently, DIIT SERVICES is exempt from any responsibilities or obligations typically associated with employment relationships under the Labor Law of the UAE (Federal Law No. 8/1980).

    2. Buyers acknowledge and agree that they are independent contractors and not employees, agents, or representatives of the Platform or DIIT SERVICES.
    3. DIIT SERVICES does not act as an agent, representative, or intermediary on behalf of Buyers. Buyers are solely responsible for their actions, decisions, and interactions with buyers.

      Role of DIIT SERVICES is limited to providing a platform that facilitates connections between sellers and buyers. DIIT SERVICES shall not be held liable for any acts or omissions of Buyers, as Buyers act independently and are fully responsible for their business operations.

    4. By accepting these Terms, Buyers explicitly waive any claims against DIIT SERVICES regarding employment-related matters, including but not limited to claims for wrongful termination, requests for employee benefits or compensation, or allegations of violation of labor laws. This waiver does not affect Buyers ' rights to seek remedies under the Civil Code of the UAE for any disputes arising from commercial transactions.
  17. TAXATION

    1. Buyers shall be responsible for paying any taxes arising from the execution of these Terms.
  18. TERMINATION

    1. DIIT SERVICES reserves the right to terminate or suspend a Buyer's account at any time, with or without cause, including but not limited to i) violation of these Terms, ii) providing false or misleading information during the registration or verification process; iii) engaging in fraudulent, illegal, or prohibited activities; iv) failure to comply with applicable laws or regulations and v) inactivity on the Platform for an extended period.
    2. Buyers may terminate their agreement with DIIT SERVICES at any time by providing written notice and ceasing all use of the Platform. To terminate your account, please contact our support team at info@carma.team or +971 54 591 00 53.
    3. Upon termination of a Buyer's account:

      1. a Buyer will lose access to the Platform and its services immediately;
      2. any pending orders or transactions initiated but not yet completed may be canceled or suspended at DIIT SERVICES discretion;
      3. DIIT SERVICES will retain the right to store and archive the Buyer's data for a reasonable period to comply with legal obligations, resolve disputes, or enforce these Terms.
    4. Buyers are responsible for exporting or retrieving any necessary business data before termination, as DIIT SERVICES does not guarantee indefinite storage of such information.
    5. Termination of these Terms shall not relieve either party of obligations that accrued prior to termination, including but not limited to:

      1. payment obligations for any services rendered or transactions completed before termination;
      2. indemnification section of these Terms shall survive the termination or expiration of these Terms;
      3. confidentiality obligations and indemnification obligations as outlined in the separate agreement concluded between a Buyer and DIIT SERVICES.

      Buyers acknowledge that certain obligations, such as confidentiality and indemnification, are governed by the terms of the separate agreement entered into directly with DIIT SERVICES. Such obligations shall survive the termination of these Terms and remain in full force and effect according to the provisions of the separate agreement.

    6. If a Buyer's account is terminated by DIIT SERVICES due to a violation of these Terms, reinstatement may be considered at DIIT SERVICES sole discretion, subject to the resolution of the underlying issue and compliance with additional requirements imposed by DIIT SERVICES.
  19. GOVERNING LAW & CONFLICT RESOLUTION

    1. These Terms shall be governed by and construed in accordance with the laws of the UAE.
    2. Any dispute, discrepancy, question, or claim arising from the performance or interpretation of these Terms, whether directly or indirectly related to it, will be resolved through the Dubai court where the law mandates such disputes to be settled by the Dubai court (or any other forum as required by law).
  20. ILLEGALITY

    1. If any provision of these Terms is or becomes illegal, invalid or unenforceable ("Affected Provision"), then, to the maximum extent possible, such Affected Provision shall be modified and/or replaced by an equivalent legal, valid and enforceable provision in a manner which accords with or which gives effect to, as closely as possible, the original intent of the Affected Provision. If, however, such modification or replacement is not possible, then (if and to the extent permissible) the Affected Provision shall be deemed to be severed from these Terms. The illegality, invalidity or unenforceability of, or the modification, replacement or severance of, the Affected Provision shall not in any way affect or impair the legality, validity or enforceability of the other provisions of these Terms, which shall remain in full force and effect.
